Valentino is looking for an Intern who will be included in the General Counseling Department, based in Milan, and will support the team in the following activities:

 

  • Cooperation and assistance in corporate secretarial matters for the Group’s companies in Italy, with reference to all the activities concerning (i) board of directors’ meetings and (ii) shareholders meetings (such as preparation of notices, minutes and supporting documentation; maintenance of corporate books, drafting and reviewing relevant corporate documentation).
  • Management of the corporate matters of the foreign subsidiaries belonging the Group (EU and Extra EU), with reference to the following activities:
    - drafting of power of attorneys, by-laws and corporate resolutions
    - appointment/revocation of directors and update of the relative powers
    - implementation of the Group’s corporate governance guidelines.
  • Support with respect to extraordinary corporate transactions (set up of Newco and branches, implementation of capital increase, credit lines and loan, intra-group mergers).
  • Carry out legal research (doctrine and jurisprudence) to provide advice with respect to corporate law issues.
  • Support the internal functions with respect to corporate law issues.
  • Cooperation and assistance in reviewing/updating internal policies.
  • Cooperation and assistance with procedures/matters in compliance with anti-mafia and anti-money laundering legislation, preparing and collecting the relevant documentation.

 

Requirements:

 

  • You are ideally a recent graduate or graduate in Law and enrolled on a Master's course, with an excellent academic background 
  • Fluent in English
  • You are interested in starting your career in Corporate Team. 
  • You will be a self-starter but also a team player with strong communication, analytical and drafting skills, able to lead deals while managing different work-streams.
